Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the VitalGate website at

and the patient-facing pages hosted for VitalGate by ClinicIQ, including the Beyond the Bandage webinar pages (registration, watch and replay), the Free 30-Minute Consultation booking pages and the Six-Week Personalized Care Program checkout pages (together, the "Pages"). By using the Pages, registering for the webinar, booking a consultation or purchasing a program, you agree to these Terms. If you do not agree, please do not use the Pages.

The Pages are operated by Vitalgate Health Corp., a Florida corporation, doing business as VitalGate and VitalGate Health ("VitalGate", "we", "us" or "our").

Care is provided in office in New York City and in Naples, Florida, and nationwide by telemedicine where permitted by law.

Educational Content Is Not Medical Advice

The website, the webinar and its replay, our videos, our emails and text messages, and the Free 30-Minute Consultation are educational and informational only. They are not medical advice, diagnosis or treatment, and they are not a substitute for care from a licensed provider who has examined you.

Using the Pages, watching the webinar or attending a free consultation does not make you a patient of VitalGate and does not create a provider-patient relationship.
A provider-patient relationship begins only when we accept you as a patient, which includes completing our intake process and agreeing to our patient forms and consents.
Do not stop, start or change any medication or treatment because of something you saw or heard from us without first talking to your own provider.
If you think you have a medical emergency, call 911 or go to the nearest emergency room. Do not use the Pages, email or text messages for urgent matters.

Beyond the Bandage Webinar

We offer a free live online masterclass, "Beyond the Bandage: Why Your Body Isn't Healing, and What Might Be Missing", presented by Dr. Galina Semyonova on Thursday, November 19, 2026, at 7 PM Eastern (the "Webinar").

Registration is free. The Pages include registration, live watch and replay pages.
The Webinar may be recorded. By attending, you understand that the session, including any questions you ask in chat or aloud, may be recorded and replayed. Please do not share private health details in the chat.
Viewing data (views, watch time and how far you watched) is recorded on the watch and replay pages, as described in our Privacy Policy.
The date, time, format and content of the Webinar may change, and we may cancel or reschedule it. We will try to notify registrants of changes by email or text.
The enrollment window that follows the Webinar closes on Sunday, November 22, 2026, at 11:59 PM Eastern. After that, the booking page will offer a waitlist for the next intake instead of booking.
Webinar content is general education. It is not tailored to you and is not medical advice.

Free 30-Minute Consultation

Webinar attendees, wherever they live, may book a free, private, 30-minute virtual consultation with Dr. Galina Semyonova (the "Free Consultation").

The Free Consultation is free of charge. There is no fee, no deposit and no payment of any kind, and it carries no obligation to purchase anything.
The booking form asks only for your name, email and phone number, plus a few non-health questions (your goals, readiness and timing). The form does not collect health records.
After you book, Dr. Semyonova's office sends you the Self-Assessment Health Profile directly. It is not collected through the booking form or the Pages.
On the call, Dr. Semyonova and you decide together whether the Six-Week Personalized Care Program is the right fit. The Free Consultation is a fit conversation, not a medical visit, and it does not by itself create a provider-patient relationship.
Please book only if you intend to attend. If you need to change your time, use the link in your confirmation email or contact us.

Six-Week Personalized Care Program

The Six-Week Personalized Care Program (the "Program") is a structured, six-week, one-on-one clinical program built on The VitalGate "Beyond The Bandage" Root-Cause Method.

Delivery: in office in New York City (delivered by Dr. Elena Semyonova) or in Naples, Florida, or nationwide by telemedicine where permitted by law.
Price: $2,850, or 2 monthly installments of $1,475.
If you choose installments, both installments remain due as agreed, whether or not you attend every visit. Choosing installments is a payment schedule, not a trial.
Payment is taken through the checkout and order forms on the Pages. Full card numbers are handled by our payment processor and are not stored by VitalGate.
Enrollment in the Program is subject to acceptance as a patient. We may decline or discontinue care if, in our clinical judgment, the Program is not appropriate for you, in which case we will discuss any unused portion of your payment with you.
Program visits are clinical visits and are subject to the Payment, Cancellation and Refund Policy below.

Payment, Cancellation and Refund Policy

The following policy applies to all appointments, including Program visits, exactly as published on vitalgate.com:

PAYMENT: Full payment is required to make an appointment.
CANCELLATION: Appointments need 7 days in advance to rebook or cancel. Cancellations can be made online, by calling, or by email.
NO REFUNDS for appointments cancelled under a 48-hour period before the appointment.

The same policy applies to each visit within the Six-Week Personalized Care Program. There is no separate refund policy for the Program. Program payments are not refundable except as stated above or as required by law.

No Guarantees of Results

As in any medical practice, we make no guarantees or promises of results. Health outcomes depend on many factors, including your history, your condition and your participation in care.

Patient stories and testimonials on the Pages describe individual experiences. Individual results may vary.
Nothing on the Pages, in the Webinar or in a consultation is a promise of a cure, a diagnosis or a specific outcome.

Telemedicine

We offer telemedicine only where permitted by law, including the laws of the state where you are located at the time of the visit, and only after we have accepted you as a patient and you have signed our telemedicine consent.

Telemedicine has limits. Some conditions cannot be assessed or treated remotely, and we may require an in-office visit or refer you to another provider.
Technology can fail. If a connection drops, we will try to reconnect or reschedule.
Telemedicine is not for emergencies. In an emergency, call 911.

Minors

VitalGate treats minors with a parent or legal guardian present. The Pages, the Webinar, the Free Consultation and purchases on the Pages are intended for adults 18 years or older, or for a parent or legal guardian acting on behalf of a minor. By using the Pages, you confirm that you are at least 18 or that you are a parent or legal guardian acting for a minor. We do not knowingly collect information from children online without parental involvement.

Communications Consent and SMS Program Terms

When you submit a form on the Pages, you agree that we may contact you by email, phone and text message about the Webinar, your consultation, your appointments and our services. You can unsubscribe from marketing emails at any time using the link in any email.

SMS Program Terms:

By checking the SMS consent box and providing your mobile number, you consent to receive text messages from VitalGate, including appointment reminders, webinar reminders and marketing messages.
Consent to receive text messages is not a condition of any purchase or of receiving treatment.
Message frequency varies.
Message and data rates may apply.

Mobile numbers and SMS consent are never shared with third parties for their marketing purposes.
Mobile carriers are not liable for delayed or undelivered messages.

Email and text are not secure channels for private health details. Please do not send health records or sensitive information by text, and use them for scheduling and general questions only.

What the Pages Do With Your Data

Forms on the Pages collect contact details (name, email and phone number) and marketing answers (quiz answers, goals, readiness, timing, how you heard about us). They never collect health records.
Leads go to our customer relationship management system (CRM), which sends follow-up email and text messages, books consultations on our calendars and takes payments through its checkout and order forms.
The Pages record page views, the source of a visit (UTM parameters and ad click IDs), form submissions and bookings, to measure our marketing.
Webinar and video pages record viewing data (views, watch time and how far you watched) to improve our content and follow up with viewers.
Meta (Facebook and Instagram) ads tracking, through the Meta pixel and Conversions API, can be connected to the Pages. When it is connected, visits, leads and bookings from the Pages are shared with Meta to measure and improve our ads. The Pages are marketing pages and do not collect protected health information.
Cookies and similar technologies are used for the purposes above.
The Pages are hosted for VitalGate by ClinicIQ.

HIPAA and Health Information

Once you become a patient, your medical records and other protected health information are handled under our separate HIPAA Notice of Privacy Practices, which we provide at intake. The marketing forms on the Pages are not the place for health details. Please share your health history only through the Self-Assessment Health Profile and the intake forms our office sends you directly.

Intellectual Property

The Pages, the Webinar and its replay, our videos, text, graphics, logos, patient stories and all other content are owned by Vitalgate Health Corp. or our licensors and are protected by copyright, trademark and other laws.

VitalGate, VitalGate Health and The VitalGate "Beyond The Bandage" Root-Cause Method are trademarks or service marks of Vitalgate Health Corp. You may not use them without our written permission.
You may view the content for your personal, non-commercial use. You may not copy, record, download, share, sell or create derivative works from the Webinar, its replay or any other content without our written permission.

Acceptable Use

You agree not to:

Use the Pages for any unlawful purpose or in violation of these Terms.
Submit false or misleading information, or book consultations you do not intend to attend.
Register, book or purchase on behalf of another adult without their permission.
Interfere with the Pages, attempt to gain unauthorized access, or use bots, scrapers or similar tools.
Record, redistribute or publicly share the Webinar or its replay.
Harass our staff, providers or other attendees.

We may suspend or end your access to the Pages, cancel bookings or decline service if you violate these Terms.

Third-Party Links and Services

he Pages may link to or rely on third-party websites and services, including payment processors, calendar tools, video platforms and social media. We do not control those third parties and are not responsible for their content, policies or practices. Your use of them is governed by their own terms and privacy policies.

Disclaimers

The Pages and their content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Pages will be uninterrupted, error-free or free of harmful components. Nothing in this section limits the duties we owe you as a licensed provider once you are accepted as a patient.

Limitation of Liability

To the fullest extent permitted by law, Vitalgate Health Corp., its officers, providers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising from your use of the Pages, the Webinar, the Free Consultation or any content, even if we were advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim relating to the Pages or their content will not exceed the amount you paid us for the service that gave rise to the claim, or $100 if you paid nothing.

Some states do not allow certain limitations of liability, so some of these limits may not apply to you. Nothing in these Terms limits liability for professional negligence in clinical care, or any other liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold harmless Vitalgate Health Corp., its officers, providers, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Pages or content, or your violation of any law or third-party right.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising from these Terms or the Pages will be brought in the state or federal courts located in Collier County, Florida, and you consent to the jurisdiction of those courts.

[Note for legal reviewer: VitalGate also treats patients in New York City through Dr. Elena Semyonova and serves patients nationwide by telemedicine. Please confirm whether a Florida governing law and Collier County venue clause is appropriate for New York and other out-of-state patients, or whether patient care agreements should carry a separate provision.]

Changes to These Terms

We may update these Terms from time to time. The current version is always posted at

with its effective date. Material changes will be noted on the Pages or sent to you by email. Continued use of the Pages after a change means you accept the updated Terms.

Severability and Entire Agreement

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy and any patient forms and consents you sign at intake, are the entire agreement between you and VitalGate regarding the Pages. If these Terms conflict with a signed patient agreement about your clinical care, the signed patient agreement controls for that care.
